PetIQ faces unlawful merger suit filed by pet med distributorsApril 13, 2018 A lawsuit has been filed against PetIQ Inc., citing an alleged unlawful merger and other antitrust violations. The action was filed Apr. 4 in the U.S. District Court for the Northern District of California by Washington, D.C.-based antitrust law firm MoginRubin LLP on behalf of pet medication distributors Med Vets Inc. and Bay Medical Solutions Inc. The lawsuit claims PetIQ's acquisition of veterinary clinic operator VIP Petcare Holdings Inc., which took place in January, will harm competition in the wholesale markets for prescription and restricted pet parasiticides by allowing the manufacturer to monopolize on the distribution of wellness products like Frontline Plus and HeartGard to nonveterinary retailers, such as Walmart and PetSmart. The action seeks to permanently enjoin the alleged unlawful acquisition as a violation of Section 7 of the Clayton Act, which bars anticompetitive practices, seeking damages for price discrimination and attempted monopolization that is in violation of both the Clayton Act and the related Sherman Act. PetIQ to open veterinary services clinics in Walmart storesMarch 20, 2018 PetIQ announced it is opening 20 veterinary services clinics in Walmart locations. This marks the beginning of PetIQ's plan to expand veterinary services to leading retailers following the acquisition of VIP Petcare in January of this year, according to the pet medication and wellness company. "We are excited to announce this partnership with Walmart to open 20 veterinary clinics," said Cord Christensen, chairman and CEO of Eagle, Idaho-based PetIQ. "The first two locations will open next week with all 20 locations to open over the next 90 days. I am incredibly proud of our team who in a very short period of time has leveraged our cross-functional capabilities to introduce our first VetIQ Petcare clinics. We are excited to provide pet parents and their pets a unique experience in conjunction with our retail partners." PetIQ said it plans to open more than 1,000 additional veterinary services clinics in retail-partner locations through 2023. Today, PetIQ and VIP serve more than 40 retail partners representing more than 60,000 locations. PetIQ to acquire VIP Petcare for $220MJanuary 9, 2018PetIQ Inc. is to acquire Community Veterinary Clinics LLC (d/b/a VIP Petcare), which operates 2,900 veterinary clinics within pet retailers across 31 states. The transaction is expected to close by the end of this month. Windsor, Calif.-based VIP Petcare offers diagnostic tests, vaccinations, prescription medications, microchipping, and wellness checks, and distributes pet wellness products and medications. In 2017, VIP Petcare treated more than one million pets through its stationary clinics as well as its 76,000 mobile clinics, according to the company.
